These are the terms Kaizen SEO engagements run on. They summarise the agreement you sign before any work begins. Where this page and your signed agreement differ, the signed agreement governs.

Who you are contracting with

Kaizen Digital is a trading name of Kaizen SEO Limited, registered in England and Wales, company number 16180662, VAT number 489281735.

What you are buying

Every engagement is a fixed scope, fixed price product. K60 runs 60 days at £4,950 plus VAT. K90 runs 90 days at £9,950 plus VAT. K365 runs twelve months at £34,950 plus VAT, or twelve monthly payments at a stated premium. Overwatch is a rolling monthly governance service at £490 plus VAT with no minimum term. K-Quarterly is available only to clients who have completed K90 or K365.

Each tier contains the one below it. You are choosing depth, not direction. Your deliverables are listed in writing in Schedule 2 of your agreement before work starts.

Term

Fixed term products end at the close of their period. There is no automatic renewal and neither party needs to give notice to end one. Overwatch and K-Quarterly are cancellable on 30 days written notice. A fixed term product cannot be ended part way through, because the scope and the fee are both committed at the outset and we commit delivery capacity on that basis.

Fees and payment

Fees are payable in advance and are exclusive of VAT. Work begins once the first payment clears. Amounts paid are non-refundable, with one exception: if we are in material breach and you end the engagement for it, we refund the proportion of what you have paid that relates to work we have not delivered. Where K365 is paid in instalments and one is more than 14 days late, the remaining balance becomes immediately due. Services pause automatically if a payment is not received by its due date.

The guarantee

Within 10 business days of starting we propose Schedule 1, and both parties sign it within 5 business days of that proposal. It names your Target Keywords individually, the Target Page each one maps to, and the Milestone Date each one is measured against. The Target Position is page 1 or page 2 of Google, being a position of 20 or better, measured in your own Google Search Console. We propose only queries that meet the Selection Standard in the agreement, you approve the list in writing, and no keyword is binding on either party before that approval. Without a signed Schedule 1 there is no guarantee.

K60 carries five Target Keywords and K90 ten. We deliver inside the Product Period, 60 days on K60 and 90 days on K90, and measure at the Milestone Date, which is day 90 on K60 and day 120 on K90. The delivery date and the measurement date are deliberately different, so that the 28 day measurement window falls after the work it tests rather than across it. If a Target Keyword has not reached the Target Position by its Milestone Date, we keep working it at no further charge until it does.

On K365 the four quarterly Milestone Dates are fixed when you sign, and each one falls 28 days after the end of the quarter it tests. Your first quarter's Target Keywords are agreed at signing, and each later quarter's set is agreed in writing before that quarter begins, never fewer than five. Miss one and that keyword carries into the following quarter in addition to that quarter's own set, not in place of it, and you may re-direct the remainder of that quarter's scope at no increase in fee. Any keyword still short at the fourth quarter's Milestone Date continues to be worked at no further charge until it lands, beyond the end of the twelve months.

Where a Target Keyword misses its Milestone Date, the remedy is continued work. It is not a refund, a credit, a fee reduction or a pause in payments. The one case where money comes back is the one above: if we are in material breach and you end the engagement for it. You verify progress in your own Search Console, not in a Kaizen dashboard.

The guarantee does not apply where Schedule 1 was never signed, and it ends if a search engine applies a manual action to your domain for a cause we did not create, if you change domain or platform without agreeing the migration plan with us, if a target page is removed or redirected without our agreement, if you cease trading, or if access is withdrawn for more than 30 consecutive days.

What we need from you

Approvals within 5 working days. Specified technical changes shipped within 15 working days. Continuous access to Google Search Console, your analytics and your CMS. Consultation before any material change to a target page, your site architecture, your domain or your platform.

The milestone clock

If one of those obligations is missed and the miss actually holds up the work, the milestone clock pauses and the milestone date moves by the same number of days. A lapse you put right within two business days does not pause anything. The pause runs from the date we tell you in writing, never from an earlier date, so it cannot be applied to you after the fact. That notice states what is outstanding and what restarts the clock. The clock pauses, it does not void the guarantee.

Ownership of the work

On receipt of the full product fee we assign to you, permanently, every page, cluster, placement, schema implementation and report created for you. That assignment survives the end of the engagement and is not conditional on any continuing relationship. If we are in material breach and you end the engagement for it, you take that ownership of everything delivered up to that point whether or not the full fee has been paid. Otherwise, until the fee is paid in full those deliverables remain ours.

We retain our own methods, frameworks, protocols, tooling and platform, including the Kaizen content protocol, the Vanguard Protocol and KaizenIQ.

Confidentiality

Both sides keep the other commercial and technical information confidential, for twelve months after the engagement ends. We reference client results in our own marketing anonymously, and name a client only with their written consent.

Things outside our control

Search engine and AI platform policies, algorithms and citation behaviour sit outside our control, and nothing here promises a general or open ended ranking outcome. That does not qualify the guarantee. The Target Keywords in your Schedule 1 are a specific contractual commitment and the guarantee applies to them in full.

Governing law

Engagements are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

Which document governs

This page is a summary written for clarity before you talk to us. Your signed agreement, with Schedules 1 and 2, is the entire agreement between us and it supersedes any proposal, deck, quotation or page, including this one.
